The Results Are In!

Thank you to all the member-owners who took the time to vote last week for Board Members and changes to the Rooted Carrot by-laws.

Board Members

We are excited to announce that Lisa Nelson will be serving another term and Mindy Doyle will start her first term on the Board of Directors for our co-op. Please join us in thanking and congratulating these two talented and dedicated member-owners!

Lisa also chairs the Membership/Communications committee and her team is responsible for this monthly newsletter each month, social media and events. She is also part of a new sub-committee for our new campaign, Don’t Wait, Cooperate. This committee is bringing together communications, site, and community relations and doing a lot of great work educating Cedar Falls City Council members and much more!

Mindy has been working hard behind the scenes for the co-op for many years. She also serves on the Membership/Communication committee and is one of the committee members responsible for our awesome website, social media and so much more! 

Changes to the By-laws

The amendments below passed with a YES vote. 

PROPOSED AMENDMENT TO BYLAWS – #1

This addition to the RCCM Bylaws outlines a process for Student Memberships.  

Section 2.3a – Student Membership – Students can become RCCM member owners for a discounted rate of $50/year. Student owners must hold a current, valid college ID from a university, college, or community college in Iowa. Student Memberships cannot be shared. Student Members may vote and be treated as a member after partial payment for a share of common stock so long as that Student Member remains current on their annual payments. Renewal payments are due annually by September 30; renewals are automatic unless otherwise canceled by the student. No stock certificate shall be issued until the $200.00 member share is fully paid. No dividends will be paid on common stock. However, the member shall be entitled to share in patronage dividends based on the member’s patronage. Payments compound and, at any point, the student may pay the remainder up to $200 for the Student Membership to transfer to a full Member Share.

PROPOSED AMENDMENT TO BYLAWS – #2 

These changes allow for self-nominations of candidates for the RCCM Board of Directors.

Old language: Nominations for  director may be made by the board, or by a petition signed by at least twenty-five (25) members entitled to vote and submitted to the Secretary at least thirty (30) days before the annual meeting or the date  decided by the Board of Directors.

Proposed new language: Nominations for director (1) may be made by the board; (2) may be made by a petition signed by at least twenty-five (25) members entitled  to vote and submitted to the Secretary at least thirty (30) days before the annual meeting; or (3) candidates can self nominate by completing a board application by a date decided by the Board of Directors. 

 

PROPOSED AMENDMENT TO BYLAWS – #3 

These changes accurately reflect how RCCM notifies its membership of meetings.

Old language: Notice: Written notice of the time, place, and purpose or purposes of any meeting  of owners shall be distributed to each owner by regular U.S. mail and posted in the store not less than  fifteen days nor more than forty-five days before the date of the meeting. 

Proposed new language: Notice: Written notice of the time, place, and purpose or purposes of any meeting  of owners shall be distributed to each owner by regular U.S. mail and/or email and posted on the RCCM website  fifteen days nor more than forty-five days before the date of the meeting. 

 

PROPOSED AMENDMENT TO BYLAWS – #4

These changes are intended to support board development until a site is secured.

Old language: Section 4.2 – Number and qualifications: There shall be nine directors. 

New language: Section 4.2 – Number and qualifications: Until a site is secured, there shall be seven directors.
